Terms & Conditions

Last updated: September 21, 2026

Welcome to Commuza. These Terms and Conditions ("Terms") govern your access to and use of the Commuza platform, including the website at commuza.ug, the Commuza web applications (among them resident.commuza.ug, landlord.commuza.ug and cp.commuza.ug), and the Commuza Resident and Commuza Gate mobile applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

  • "Commuza" is the community-management platform these Terms govern. It is a product of SMS ONE (U) LTD ("SMS ONE", "we", "us", "our"), a company registered in Uganda.
  • "Community" refers to a gated estate, condominium, or residential development registered on the platform.
  • "User" refers to any individual who accesses or uses the Service, including community managers, board members, residents, and security staff.
  • "Subscription" refers to the paid plan selected by a Community to access premium features.

2. Accounts

You cannot open a Commuza account on your own. A resident is invited by their Community's manager, or asks to join using that Community's account number and waits to be approved. Security staff do not register at all: a manager issues a guard code and an access code, and the Commuza Gate app has no sign-up. Each account is tied to one mobile phone number (+256 in Uganda).

You are responsible for keeping your credentials confidential and for what happens under your account, and you agree to tell us immediately about any unauthorised use. Because access is granted by a Community, a Community can also withdraw it β€” when your membership of a Community ends, so does your access to that Community's data.

3. Use of Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service to transmit harmful, threatening, abusive, or unlawful content.
  • Attempt to gain unauthorized access to other Users' accounts or Community data.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated tools to scrape, collect, or extract data from the Service.
  • Sublicense, resell, or redistribute the Service without prior written consent.

4. Multi-Tenancy & Data Isolation

Each Community's data is isolated within the platform. Community managers and board members may only access data belonging to Communities they are authorized members of. Cross-community data access is strictly prohibited and technically enforced.

5. Subscriptions & Payments

Communities may subscribe to paid plans to access premium features. Payments are processed in Uganda Shillings (UGX) by the payment providers your Community has enabled β€” typically Pesapal for mobile money and card, with Yo! Payments and Sasula (operated by our partner Service Cops) also available in Uganda. The methods available to you depend on what your Community has enabled, and typically include mobile money and card. Commuza never holds your money: it moves from you to your Community through the provider your Community has chosen.

  • Subscription fees are billed monthly or annually as selected.
  • Fees are non-refundable except as required by applicable law.
  • We reserve the right to modify pricing with 30 days' advance notice.
  • Failure to pay may result in suspension or termination of access to premium features.

6. Community Billing

The Service enables Communities to bill residents for levies, assessments, and other charges as determined by the Community's management board in accordance with Uganda's Condominium Property Act, 2001. Commuza acts solely as a technology platform and is not a party to financial obligations between Communities and their residents.

7. Intellectual Property

The Service, including all software, designs, logos, and content, is the property of SMS ONE (U) LTD and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

9. Limitation of Liability

To the maximum extent permitted by law, SMS ONE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Service.

10. Service Availability

We work to keep the Service available and monitor it continuously, but we do not offer a guaranteed uptime figure and access may be interrupted. We may carry out scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our reasonable control. Commuza Gate is built to keep verifying visitors and recording entries on the handset while the network is unavailable, and to send those records when it returns.

Commuza does not contact the police, fire or any other emergency service. The emergency alert in the apps notifies a Community's own members and managers, and nobody else.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. A Community that is leaving should export what it needs β€” invoices, statements and gate logs export from the Service while the account is active β€” and may ask us for an export afterwards, which we will provide where we still hold the data under the retention schedule in the Privacy Policy.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Uganda, where SMS ONE (U) LTD is registered, and any disputes shall be subject to the exclusive jurisdiction of the courts of Uganda. This does not remove any mandatory consumer or data-protection rights you hold under the laws of Uganda.

13. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or in-app notification at least 14 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
